    Why You Need a Registered Agent for Your California Game Development Company

    The video game industry has blown up to astonishing proportions. In 2022, the worldwide market saw revenue hitting around $347 billion. With so many platforms for game development and playing, gamers and devs alike have gotten more avenues to thrive. The room for indie success has also become more apparent, as the largest gaming companies in the world from Sony to Ubisoft only make up about 29% of the total revenue. 

    Even if you start from a small team, it’s the most promising time to start your own game development company with the right resources. Some of the biggest games in recent memory were created by just one developer. Undertale was created solely by Toby Fox and garnered more than 4 million players. An even more astounding success is Minecraft, with its original version being developed by Markus Persson in Stockholm before its Microsoft acquisition. 

    Hundreds of gaming companies choose to operate in California because of the state’s tech, innovation, and talent pool. From artists and programmers to voice actors and sound engineers, it makes sense that the state where Silicon Valley thrives would be a magnet. 

    That said, the state also happens to have some of the strictest business regulations. If you’re going to operate a game development company, the importance of finding the best registered agent in California cannot be underestimated. There are quite a few major reasons why this should be on your list of top priorities. 

    1. California requires all business entities to have a registered agent

    The biggest reason to get a registered agent is that it’s legally required for any business entity to have one if they wish to operate in California. This falls under the California Corporation Code, which, despite its name, applies to all types of business structures except sole proprietors. The most common choice is to go for a limited liability company (LLC) structure, as this offers pass-through taxation and helps establish credibility. 

    If you attempt to operate your game development company in California without getting a registered agent, you will be penalized with fines and run the risk of losing your license to run the business. You may also get your tax account suspended. 

    A registered agent can be any employee of the company, the business owner, or a commercial agent that you can hire from an agent service. Whoever is designated must have a physical address in the state, be of legal age, and be available during regular business hours. This individual will then be responsible for receiving service of process and serving as the point of contact for legal communications from the government and other entities. 

    2. A registered agent adds privacy and minimizes risk

    There are many benefits to having a registered agent, not least of which are the increased privacy and security that comes from having a separate address that is not your actual place of operations. Of course, no gaming company wants to receive any lawsuits or problematic notices. That said, it’s still better to have these safeguards in place.

    It’s especially relevant in 2023, as the California Secretary of State has announced an increase in deceptive solicitations being sent to entities registered with the state. Fraudulent complaints and the like are the last things you want to have to deal with when you’re trying to make it in a highly saturated market. It’s especially useful if you get a commercially hired registered agent as they are usually well-versed in such solicitations. When they receive any, they will likely alert you right away as part of their responsibilities. 

    3. You will need to stay on top of California’s strict compliance requirements

    California is quite notorious for being extremely strict with its business regulations. Not only is the state one of the most rigorous with compliance and deadlines, but it also has the heaviest regulation in the entire country. There are 395,608 regulatory restrictions in the state.

    While these may not all apply to your business as a gaming development company, you will still need to keep up with the many regulatory requirements that will be imposed on you. A registered agent’s role is largely defined by their receipt and management of notices and documents that are related to the state. This is very helpful if you want to make sure you are meeting California’s business rules without sacrificing your own time and efforts. 

    4. A registered agent’s availability frees up your own workflow

    Although a registered agent is only legally required to be available during business hours (8:00 am to 5:00 pm), they also have the flexibility to receive documents and service of process at any time. This removes much of the strain and liability from you to receive and respond accordingly as the agent will ensure that you are on top of things. 

    Considering how much work goes into making every aspect of a game right, you will want to have the time and space to focus on deadlines, testing, and improvements. With a killer team and a solid flagship product, you can focus your efforts on maximizing development to hit major platforms like Steam, PlayStation, and the App Store, depending on your goals.
